The Role:

Legal Counsel with expertise in both band enforcement and anti-counterfeit action. This role involves a dynamic blend of legal proficiency and strategic enforcement, ensuring adherence to Nigerian laws and effective combat against counterfeit operations. It will have end-to-end responsibility for all legal and compliance matters for Commercial and Group Supply Chain operations in Nigeria. The successful candidate will report to the Senior Legal Counsel in WACA.

Key Responsibilities:

  • Provide legal guidance on matters related to band enforcement and anti-counterfeit strategies.
  • Draft, review, and oversee the execution of legal documents and settlement agreements.
  • Assist in legal proceedings related to band enforcement and anti-counterfeit actions.
  • Engage with law enforcement authorities and external partners.
  • Develop and implement strategies to combat counterfeit activities effectively with the Group Head of the Anti-Counterfeit Department.

Legal Advisory

  • With the guidance of Regional Senior Legal Counsel and/or external counsel (as applicable), give accurate and timely legal counsel to the business operations in Nigeria.

Contracting Excellence

  • Draft, review and advise on a variety of legal documentation and contracts.
  • Send out prompters for Agreement renewals and arrange for the proper and timely execution of Agreements.
  • Negotiate with outside parties on specified contractual issues and legal disputes.
  • Update the contract management tool in a timely manner and follow up with the relevant stakeholders in its life cycle.

Corporate Entity Management

  • Responsible for keeping up to date Board Meetings, annual and periodic corporate filings,
  • Prepare appropriate delegations of authority to business leaders and for business activities like bank account operations etc

Regulatory Compliance

  • Working with the Regional Senior Legal Counsel and external counsel, ensure that current laws, regulations, rules, and legal materials/information likely to impact Business Partners operations are pre-emptively identified and develop materials to advise the business accordingly.
  • Maintain a compliance calendar to track important deadlines, filings, and reporting requirements.
  • Prepare regular reports and updates on the Company’s compliance status at the local level.
  • Maintain accurate records of all legal and compliance-related documents, contracts, permits, and licenses specific to the local jurisdiction. Ensure that the organization is up-to-date with all necessary filings

Litigation Management

  • Assist with reviewing new claims and collaborating with business teams to devise efficient defense, working with the Regional Senior Legal Counsel.
  • Collate information and documents to aid the Litigation process and arrangements for Company witnesses and pre-trial briefings.
  • Proactively liaise and collaborate with external counsel, including follow-up and obtaining feedback on cases.

Legal Risk Management

  • Proactively research and evaluate different risk factors regarding business teams’ decisions and operations and advise accordingly.
  • Perform initial due diligence in legal matters, where required.

Training and Awareness

  • Prepare periodic articles, training materials, and updates on relevant legal issues for the business’ information.

Legal Operations

  • Ensure timely payment of External counsel and other Legal Vendors.
  • Prepare legal reports and slides as assigned by the Regional Senior Legal Counsel.
  • Update and maintain online and physical legal files and documentation.
  • Ensure monthly updates of templates and other legal departments on the Legal Sharepoint
  • Ensure proper filing of the Legal Team’s documents.

Projects/Programmes

  • Support Legal Projects and/or other such programs within the Company.

Carry out other legal-related tasks received from the Regional Senior Counsel.

Qualifications:

  • Bachelor’s degree in law and admitted to the Bar.
  • 5 years of relevant experience, preferably in consumer goods business with exposure to the manufacturing environment
  • Proficiency expected in spoken and written English
  • Self-driven, result-oriented with Business partnering skills

You Will:

Manage a diverse legal team in multiple locations in the provision of legal services to:

AltaGas’ Midstream business on all matters affecting it or its operations, including with respect to commercial, regulatory, and dispute resolution matters

AltaGas’ Corporate functions on all matters, including banking, financing, digital, supply chain, human resources, labour relations, environmental and ESG matters

Ensure compliance of the Midstream business and Corporate functions with applicable laws and regulations, including remaining abreast of changes in applicable laws and regulations and effectively communicating those changes as applicable within the organization

Review legal and corporate documents, external corporate communications, press releases, marketing materials and other applicable legal and non-legal documents impacting company

Ensure all policies and documentation are fully compliant and assist with the implementation and compliance with all corporate policies and processes

Oversee conduct of legal research and preparation of reports and presentations as requested, including regular presentations to management of the Midstream business and Corporate functions.

Field legal and compliance inquiries from key stakeholders with respect to the Midstream business and as required by the Corporate functions

Provide representation as required at law hearings and other judicial proceedings

Support acquisitions and divestitures work where required

You Have:

Bachelor’s degree in Law (JD or LLB) and membership in good standing of the Bar.

Minimum of 15 years corporate law experience gained at either a large law firm or with a corporation of comparable size and complexity as AltaGas Ltd.

Thorough understanding of the Energy industry and applicable legislation

Proven track record of leading and managing diverse team of strategic professionals

Experience working with management teams and boards of directors

Securities law experience

Experience with human resources and labour relations

ABOUT THE ROLE

Pixalate is seeking an experienced UK-based Corporate Counsel to help accelerate growth in a cost-effective and legally-compliant manner. You will have extensive experience advising on matters concerning complex contract management, regulatory compliance, intellectual property management and technology in the context of modern software-as-a-service (SaaS) enterprises. You will understand how UK and European law is developing to regulate the technology industry and hold versatility to steer across a broad range of regulatory and product workstreams. You will possess a good working knowledge of corporate governance formalities, such as board and shareholder resolutions, shareholder agreements, and share option awards. The role will require extensive cross-functional collaboration across all business functions at Pixalate and experience in regulatory obligations compliance and providing administrative legal support is a must.

RESPONSIBILITIES

  • Advising across a range of practice areas including commercial, contractual, corporate governance and regulatory advice alongside providing ad hoc legal advice to the internal teams;
  • Drafting and negotiating a full range of complex commercial agreements, managing and overseeing inbound and outbound commercial contracts, including cloud/SaaS arrangements, outsourcing, software development, licensing and maintenance agreements, terms and conditions, and others;
  • Tracking and sharing emerging trends in global laws and regulations as needed;
  • Administering and providing legal support with share award schemes (e.g., UK Enterprise Management Incentives (EMI) scheme);
  • Leading corporate governance duties including incorporation of international affiliates and subsidiaries, drafting intercompany agreements and board resolutions, amongst other such duties as and when arising in the normal course of business activities;
  • Undergoing GAAP audits and/or investor due diligence; and
  • Excellent interpersonal and written/verbal communication skills.

QUALIFICATION

  • UK qualified lawyer with +2 years’ PQE at a reputable law firm or in-house legal department at a software/technology focused business preferred;
  • Additional admission in the EU or US jurisdictions would be a plus;
  • Startup, SAAS experience with thorough understanding of drafting, amending and negotiating material terms and conditions of subscription agreements for software-as-a-service (SAAS) businesses is essential;
  • General understanding of employment law best practices highly desirable, and
  • Expertise in establishing and maintaining e-room repositories for corporate governance documentation is essential.

  • Assisting the Assistant General Counsel with the management of any legal matters, as required.
  • Leading the development and implementation of enterprise-wide legal processes.
  • Providing leadership/mentorship/guidance and experience to the Legal Department.

Training, Education, and Awareness

  • Identifying, monitoring and providing updates on case law, legislative developments, and labour and employment law.
  • Providing training on labour and employment matters and assist with compliance activities.
  • Advising and training Human Resources Department on investigation process, tracking, and corrective action
  • Advising Human Resources Department on legislative changes that will impact workplace policies and draft and implement plans to comply with such laws.

Enable Core Business Functions

  • Participating as a key legal member of LifeLabs committees and groups.
  • Providing leadership across the organization on behalf of the Legal Department.
  • Acting as the LifeLabs legal representative or spokesperson within areas of expertise as required.
  • Providing legal advice and counsel to enable core business functions and advance LifeLabs’ strategic priorities.

Strategic and Personal Development

  • Acting as a key component of the business and work to engage and advance the reputation of the Legal Department.
  • Building advancement within the organization and be a strong ally to the Human Resources Department.
  • Be creative and optimistic about the future of the Legal Department and show a keen desire to grow as an individual with the company.

Privacy

  • Providing assistance from a legal perspective on privacy in the workplace.
  • Assisting the Privacy Team with various legal matters.

Required Experience:

  • Post graduate (J.D. or LLB)
  • 5 to 10 years of experience
  • Law degree and member in good standing of the Law Society of Ontario.
  • Minimum of 5 years’ experience practicing labour and employment law and litigation at a reputable law firm or corporate legal department.
  • Strong command of Canadian labour and employment laws, regulations and best practices.
  • Demonstrated experience independently carrying labour and employment litigation files with minimal supervision, including appearances at various levels of court, administrative tribunals and boards, and arbitration proceedings.
  • Experience dealing with a wide range of labour and employment matters, including, but not limited to wrongful dismissal, human rights, occupational health and safety, labour relations,
  • Effectively and efficiently manage external counsel.
  • Excellent written and oral communication, negotiation, client relationships, organizational, leadership and project management skills.
  • Experience leading and conducting complex workplace investigations
  • Experience with a large company with locations in multiple provinces is an asset.
  • Strong communication and influencing skills to effectively communicate and effect change with complex legal issues.

Hiring Range: $106,100 to $135,300
The hiring range has been established, however, the final salary recommendation will be determined based off the level of experience, education requirement, external market conditions and internal equity.

In this position, you will be eligible for Lifelabs annual bonus.
